We expect suppliers to comply with our guidelines and to know and obey all the laws governing the purchasing function at Baxter. To this end, we have made available Baxter's Business Practice Standards for Suppliers in five languages.

The Ethics and Compliance Helpline was established as an independent channel of communication to raise issues and open communications about Baxter's ethics and compliance issues. Employees, customers, suppliers, and other Baxter constituencies may use this communication vehicle to seek guidance, discuss concerns, or report issues relative to Baxter's business practice standards.

 

The Ethics and Compliance Helpline was established by the Corporate Responsibility Office and is managed by the Business Practices group. The Baxter Ethics and Compliance Helpline is a method for reporting actual or suspected conduct that may involve violation of applicable laws, rules, regulations, standards, policies, and accounting procedures otherwise inconsistent with Baxter's Ethics and Compliance Standards.

 

Baxter is utilizing EthicsPoint, an outside vendor to provide you with ways to confidentially report concerns or seek advice on ethics and compliance issues. This service is available 24 hours a day, 7 days a week with representatives who can consult with you in almost any language. You may file a report on line or dial the toll-free number for your country identified in the site. You also have the option to contact Baxter's Ethics and Compliance Office directly.

 

All inquiries will be handled promptly. Confidentiality will be maintained insofar as you have the option of remaining anonymous except where prohibited by law or regulation. EthicsPoint does not conduct any inquiry or investigation directly. EthicsPoint will promptly forward all inquiries to Baxter's Ethics and Compliance office to address or investigate, and corrective action will be taken as necessary.

 

No one will be punished for asking about possible breaches of law, regulation, or company policy. Any allegation of a reprisal will be investigated. You will have the ability to check the status of your report from this site.

 

Baxter is encouraged to see the number of calls for guidance increase over time, which now far exceeds the number of calls we received regarding potential violations.

Baxter Healthcare Corporation’s compliance program reflects the company’s commitment to comply with the laws and regulations that govern in the U.S. Baxter’s program is consistent with the fundamental principles set forth in "Compliance Program Guidance for Pharmaceutical Manufacturers," published by the Office of Inspector General, U.S. Department of Health and Human Services (the "HHS-OIG Guidance"). Baxter’s program seeks to prevent, detect and resolve potential violations of law or company policy. A description of Baxter’s program is set forth below. This compliance program is dynamic, involving multiple polices, procedures and programs. It involves regular assessment and adjustment to ensure that the program is responsive to Baxter’s evolving business.

 

Summary of Compliance

"The United States Food & Drug Administration (USFDA) recently announced that the federal regulations (21 CFR 203) implementing the requirements of The Prescription Drug Marketing Act (PDMA) of 1987 were to become effective for compliance and enforcement purposes. As of Friday, December 1, 2006, every manufacturer is required to maintain, update and make available upon request a listing of its Authorized Distributors of Record (ADR). This listing must document those entities which have an ongoing relationship (within the meaning of federal law and regulation) with a prescription drug manufacturer. This is commonly referred to as an "Authorized Distributor of Record List", or "ADR List".
